Terms of SERVICE
Corvalis LLC ("Corvus POS," "we," "us," "our") — Last updated: March 2, 2026
Please read these terms carefully before using the Corvus POS platform. By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy.
1. Definitions
- "Service" or "Platform" — the Corvus POS web application, APIs, and associated tools.
- "Merchant," "Subscriber," "you," "your" — the business entity or individual entering into this agreement.
- "Authorized User" — employees or staff granted access to the Service by the Merchant.
- "Tenant" — the Merchant's isolated instance within the multi-tenant platform.
- "Merchant Content" — menus, images, descriptions, and other data you upload.
- "Free Trial" — the 14-day no-credit-card trial period.
- "Service Credit" — a credit applied to a future billing cycle; not a cash refund.
2. Eligibility & Account Registration
2.1 Eligibility
You must be at least 18 years old and have legal authority to bind the business you represent. The Service is intended for US-based food service businesses (food trucks, restaurants, cafes, catering companies).
2.2 Your Account
You must provide accurate and complete information at registration. You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us immediately of any unauthorized access. Accounts may not be transferred or assigned without our written consent.
2.3 Google Sign-In
If you sign in with Google, you authorize us to receive your Google account's name, email, and profile photo. You remain bound by Google's own Terms of Service.
3. The Service
3.1 What We Provide
Corvus POS is a multi-tenant SaaS platform offering: QR code digital menus, order/ticket management, modification and customization support, daily sales reports, Square Terminal payment integration, PDF menu generation, and an admin dashboard.
Features may change over time. We will provide reasonable notice before removing any core feature.
3.2 Availability
We target 99.5% monthly uptime, excluding scheduled maintenance and force majeure events. Scheduled maintenance will be announced with at least 24 hours notice when possible. The Service is hosted on Railway.app — Railway's availability directly impacts ours. No uptime guarantee is made during the Free Trial.
3.3 Square Terminal Integration
Corvus POS integrates with Square Terminal via Square's API. By connecting Square, you agree to Square's own Terms of Service. We are not a payment processor — we act as a software intermediary. We are not responsible for transaction failures, declined payments, holds, chargebacks, or disputes handled by Square. Square's processing fees are separate from your Corvus POS subscription.
3.4 QR Code Menus
QR codes link to a publicly accessible menu page. You are responsible for the accuracy of your menu content, including prices, allergen information, and availability. You are responsible for any legal obligations applicable to your menu (e.g., allergen disclosures, nutritional information).
4. Subscription, Billing & Pricing
4.1 Plans
- Monthly: $25.00 USD/month, billed monthly in advance.
- Annual: $200.00 USD/year, billed annually in advance ($16.67/month effective).
All prices are in US dollars and do not include applicable taxes. You are responsible for any sales tax or other taxes.
4.2 Free Trial
New accounts are eligible for a 14-day Free Trial with full feature access. No credit card required. One trial per business — creating duplicate accounts to extend the trial is prohibited. At trial end, admin access is restricted until you subscribe. Data from the trial is kept for 30 days after expiration.
4.3 Payments
Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. If a payment fails, Stripe will retry automatically. If payment is not resolved within 14 days, your account may be suspended. Suspended accounts retain data for 30 days; after that, data may be permanently deleted with 7 days advance email notice.
4.4 Cancellation
Cancel anytime through your admin dashboard's subscription settings. Cancellation stops future billing but does not entitle you to a refund for the current period. You keep access until the end of your paid period, then your account enters a 90-day data retention window before deletion. See our Refund Policy for complete details.
4.5 Price Changes
We will provide at least 30 days written notice (by email) before changing pricing. Continued use after the effective date means you accept the new pricing. You may cancel before the effective date if you disagree.
5. Acceptable Use
The Service is for legitimate food service business operations. You may not:
- Violate any federal, state, or local law
- Process payments for illegal goods or services
- Impersonate another business or person
- Attempt unauthorized access to the platform, another tenant's data, or our infrastructure
- Conduct vulnerability or load testing without written authorization
- Introduce malware, viruses, or destructive code
- Scrape, crawl, or systematically harvest data from the platform
- Resell or sublicense access without authorization
- Create duplicate accounts to extend the Free Trial
- Post content that is defamatory, obscene, or infringes third-party rights
Violations may result in immediate suspension or termination. We reserve the right to report illegal activity to law enforcement.
6. Your Content & Data
6.1 You Own Your Content
You retain full ownership of all Merchant Content. We do not claim any intellectual property rights in your data.
6.2 License to Us
You grant Corvalis LLC a limited, non-exclusive, royalty-free license to store, process, display, and transmit your content solely to provide the Service. This license ends when you delete your account or the content. We do not use your content for advertising, AI training, or any purpose outside operating the Service for you.
6.3 Your Responsibility
You represent that you have all necessary rights to the content you upload. You are solely responsible for the accuracy of your menu and compliance with applicable food labeling laws.
6.4 Data Portability
You can export your data at any time through the admin dashboard. After cancellation, you have a 90-day export window.
7. Intellectual Property
The Service — including the platform software, UI design, branding, and documentation — is owned by Corvalis LLC and protected by US copyright, trademark, and trade secret law. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service during an active subscription or trial.
"Corvus POS" and the Corvus logo are trademarks of Corvalis LLC. You may not use them without written permission.
If you submit feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
8. Privacy & Data Security
Your use of the Service is subject to our Privacy Policy. As a Merchant, you are a data controller for your customers' data — Corvus POS acts as a data processor on your behalf for data stored within the platform.
You are responsible for maintaining your own privacy policy for your customers and complying with all applicable privacy laws.
PCI-DSS: Corvus POS is designed to minimize your PCI scope by ensuring cardholder data from Square Terminal never passes through our servers. However, you remain responsible for securing your own devices, network, and physical environment.
9. Third-Party Services
The Service integrates with Stripe (billing), Square (payments), and Google Firebase (authentication). These services have their own terms and privacy policies. We are not liable for the acts, omissions, or failures of any third-party service. Changes to third-party APIs that affect our functionality are outside our control — we will make reasonable efforts to adapt but cannot guarantee uninterrupted integration.
10. Termination
10.1 By You
You may terminate your account at any time by canceling your subscription and requesting deletion through admin settings.
10.2 By Us
We may suspend or terminate your account if you violate the Acceptable Use Policy, fail to resolve payment issues within the cure period, provide false registration information, or if required by law. For severe violations, suspension may be immediate without notice.
10.3 Service Discontinuation
If we discontinue the Service entirely, we will provide at least 60 days advance written notice. Annual plan subscribers will receive a prorated refund for the unused portion of their prepaid term — this is the sole exception to our no-refund policy.
10.4 Effect of Termination
All licenses cease. Your access is revoked. Data is retained for the 90-day export window, then deleted per our Privacy Policy. Sections that survive termination: intellectual property, limitation of liability, indemnification, dispute resolution, and governing law.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. WE DO NOT WARRANT THE ACCURACY OF REPORTS OR DATA GENERATED BY THE SERVICE. SQUARE TERMINAL PAYMENT PROCESSING IS PROVIDED BY SQUARE, INC.; WE MAKE NO WARRANTIES REGARDING SQUARE'S SERVICES.
12. Limitation of Liability
IN NO EVENT WILL CORVALIS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CORVALIS LLC IN THE 12 MONTHS PRECEDING THE CLAIM. FOR FREE TRIAL ACCOUNTS, LIABILITY IS CAPPED AT $25.00 USD.
These limitations reflect a reasonable allocation of risk and are an essential element of the agreement. We would not provide the Service without them.
Exceptions: These caps do not apply to liability arising from gross negligence or willful misconduct.
13. Indemnification
13.1 By You
You agree to defend, indemnify, and hold harmless Corvalis LLC, its members, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your use of the Service, your Merchant Content, your violation of these Terms, your violation of any law, claims by your customers related to your food or business operations, and your use of Square Terminal including payment disputes or chargebacks.
13.2 By Us
We will defend and indemnify you against third-party claims that the Service infringes a valid US patent, copyright, or trademark, provided you give us prompt notice, sole control over the defense, and reasonable cooperation.
14. Dispute Resolution & Governing Law
14.1 Governing Law
These Terms are governed by the laws of the State of Alabama, without regard to conflict of law provisions.
14.2 Informal Resolution First
Before filing any formal claim, you must send written notice to [email protected] and allow 30 days for good-faith resolution.
14.3 Binding Arbitration
If informal resolution fails, disputes will be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. A single arbitrator will be used. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
14.4 Class Action Waiver
YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
14.5 Small Claims & Injunctive Relief
Either party may bring a qualifying claim in small claims court. Either party may seek injunctive relief in court to prevent irreparable harm without first pursuing arbitration.
15. General Provisions
- Entire Agreement: These Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and Corvalis LLC.
- Modifications: We may update these Terms at any time. For material changes, we will provide 30 days advance email notice. Continued use after the effective date constitutes acceptance.
- Waiver: Failure to enforce any provision does not waive it.
- Severability: If any provision is held invalid, the remaining provisions stay in effect.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale with reasonable notice.
- Force Majeure: We are not liable for delays caused by events outside our reasonable control — including natural disasters, power outages, internet infrastructure failures, third-party service outages (Railway, Firebase, Stripe, Square), or government actions.
- Notices: Notices to you are sent to your registered email. Notices to us must be sent to [email protected].
- No Agency: Nothing in these Terms creates a partnership, joint venture, or employment relationship.
- Electronic Acceptance: Clicking "I Agree" or using the Service constitutes a valid, binding signature under the ESIGN Act and applicable Alabama law.
